• Each share of Class A Common Stock is entitled to one vote for each matter properly brought before the shareholders

NACCO Class B Common Stock was issued in 1986 as a stock dividend to then current holders of NACCO Class A Common Stock in connection with the formation of the NACCO parent company

• Each share of Class B Common Stock is entitled to ten votes for each matter properly brought before the shareholders
• Each share of Class B Common Stock can be converted into one Class A share
• Class B shares are not publicly traded

Common Stock is equal in respect of rights to dividends and any other distributions in cash, stock or property of the Company
